Terms of Use
Working draft for legal and business review. Fields marked [PLACEHOLDER] require confirmation. Applications and funding remain closed until the launch requirements are complete.
These terms cover The Table, the Happimeal investor application and reporting portal at [PLACEHOLDER: PORTAL URL], operated by [PLACEHOLDER: COMPANY LEGAL NAME] of [PLACEHOLDER: REGISTERED ADDRESS]. Support: [PLACEHOLDER: SUPPORT EMAIL].
1. Scope
The portal lets applicants verify a wallet, submit an application, review and sign an approved seat agreement, see verified funding and seat records, and view daily revenue entitlements and verified payments. Authorized operators administer the programme. It is separate from the main token-launch and trading platform; any terms for those services must be provided by that platform.
The seat agreement governs a seat purchase and its economic rights. These website terms do not create a seat, accept an investment, change a signed agreement or replace required offering disclosures. Browsing or connecting a wallet does not sign the seat agreement.
2. Eligibility and information
Participation is limited to applicants meeting [PLACEHOLDER: ELIGIBILITY PROCEDURE AND PERMITTED JURISDICTIONS]. You must have legal capacity and authority to act for any represented entity. Give accurate information and cooperate with the approved verification process. A submitted application or self-declared investor status does not guarantee approval.
3. Account and wallet access
Investor access requires proof of control of the connected wallet. Operator access uses individual authorized accounts and multi-factor authentication. Keep signing devices and access credentials secure, inspect messages before signing, and sign out on shared devices. A signature to log in is separate from a seat agreement signature and from a blockchain transfer.
The portal never needs a wallet’s private key or recovery phrase. Report a suspicious message, lost key or compromised account to [PLACEHOLDER: SECURITY CONTACT]. Routine wallet replacement requires both wallet signatures and review; lost-key cases follow the separately approved recovery procedure.
4. Payments and records
Only use payment instructions shown for your approved application in an authenticated session. Verify the destination, Base network, supported USDC token, exact amount and deadline before sending. Funds go directly to a Safe controlled by its authorized signers. The web server does not hold its signing keys.
Displayed entitlements are accounting records. Daily calculations do not automatically send funds. Payments require separate review and Safe execution, and are shown as received after blockchain verification. Data feeds and blockchain finality can be delayed. The portal shows unavailable services as unavailable rather than substituting sample financial data.
Keep your own copies of signed documents and transaction records. Raise a suspected mismatch through [PLACEHOLDER: SUPPORT EMAIL] under [PLACEHOLDER: ACCOUNTING DISPUTE AND CORRECTION PROCEDURE]. The seat agreement governs partial, excess and incorrect payments, refunds, payout timing and accrued rights.
5. Acceptable use
Do not impersonate another applicant, supply false information, attempt unauthorized access, introduce malicious content, bypass access controls or rate limits, disrupt the service, or use the portal for unlawful activity. Authorized security testing must stay within the agreed scope. Report suspected vulnerabilities to [PLACEHOLDER: SECURITY CONTACT].
6. Privacy and communications
The privacy notice explains the portal’s application records, wallet and transaction data, access controls and service providers. Do not place sensitive identity documents, wallet keys or recovery phrases in free-text application fields. Use the separately approved secure channel when additional verification evidence is requested.
The official support and notice channels are [PLACEHOLDER: SUPPORT EMAIL] and [PLACEHOLDER: REGISTERED ADDRESS]. Verify any request to change payment instructions through the authenticated portal and the published support process.
7. Availability and changes
Maintenance, supplier outages, chain interruptions and security investigations can affect access. The service availability and support commitments are [PLACEHOLDER: SUPPORT HOURS AND SERVICE COMMITMENTS]. No statement in these terms promises uninterrupted service or software without defects.
Security restrictions may limit access or new payout proposals while preserving recorded balances. The notification, review and appeal process is [PLACEHOLDER: HOLD REVIEW AND ACCRUED RIGHTS POLICY]. The portal cannot reverse a completed blockchain transaction.
The amendment and notice process is [PLACEHOLDER: AMENDMENT AND NOTICE POLICY]. Updating a website document does not change an existing signed agreement or erase accrued rights.
8. Content and external services
The ownership and permitted use of Company branding, portal content and software are [PLACEHOLDER: WEBSITE INTELLECTUAL PROPERTY TERMS]. Your personal documents and records remain subject to the applicable agreement and privacy notice.
Wallet software, the blockchain, explorers, the main platform and other external services have their own terms and risks. A link or displayed transaction record is not a guarantee of the external service’s security or accuracy.
9. Responsibility and disputes
The approved liability limits, remedies and required exceptions for use of the portal are [PLACEHOLDER: APPROVED LIABILITY AND REMEDIES TERMS]. No term excludes rights or liabilities that cannot lawfully be excluded. The governing law and dispute process are [PLACEHOLDER: GOVERNING LAW AND DISPUTE PROCEDURE].
Investment, legal and tax decisions require your own assessment and, where appropriate, independent advice. The portal reports programme records; it does not guarantee returns or determine that an applicant’s participation is lawful in every jurisdiction.
